Welcome to Edit Noir (“we,” “us,” or “our”). These Terms of Use (“Terms”) govern your access to and use of editnoir.com (the “Site”) and the purchase of our digital branding tools and resources (“Products”).

BY ACCESSING OR USING THE SITE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SITE OR PURCHASE OUR PRODUCTS.

1. ACCEPTANCE OF TERMS

By accessing the Site, creating an account, purchasing Products, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy (incorporated herein by reference).

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Site. Your continued use of the Site after changes are posted constitutes acceptance of the modified Terms. We encourage you to review these Terms periodically.

2. ELIGIBILITY

You must be at least 18 years old to use the Site and purchase Products. By using the Site, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

If you are accessing the Site on behalf of a business or organization, you represent and warrant that you have the authority to bind that entity to these Terms.

3. ACCOUNT AND REGISTRATION

While browsing the Site does not require registration, certain features (such as newsletter subscription or accessing free resources) may require you to provide information or create an account.

You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your information
  • Maintain the security and confidentiality of your account credentials
  • Notify us immediately of any unauthorized use of your account

You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. PRODUCTS AND SERVICES

4.1 Digital Products

Edit Noir offers digital branding tools, templates, and resources (“Products”) available for purchase through third-party platforms, including but not limited to Etsy.

All Products are digital downloads only. No physical products will be shipped.

4.2 Product Descriptions

We make every effort to display and describe our Products accurately. However, we do not warrant that Product descriptions, images, pricing, or other content on the Site is accurate, complete, reliable, current, or error-free.

4.3 Pricing

All prices are listed in U.S. Dollars (USD) unless otherwise stated. Prices are subject to change without notice. We reserve the right to modify or discontinue Products at any time without liability.

4.4 Third-Party Sales Platforms

Products are sold through third-party platforms (e.g., Etsy). Your purchase is subject to the terms and conditions of those platforms in addition to these Terms. Payment processing, refunds, and transaction disputes are handled by the respective platform.

We are not responsible for any issues arising from the third-party platform’s policies, payment processing, or technical failures.

5. LICENSE AND INTELLECTUAL PROPERTY

5.1 Ownership

All content on the Site and within our Products, including but not limited to text, graphics, logos, images, designs, templates, software, and digital files (collectively, “Content”), is the exclusive property of Edit Noir or its licensors and is protected by U.S. and international copyright, trademark, and intellectual property laws.

Edit Noir®, the Edit Noir logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Edit Noir. You may not use such marks without our prior written permission.

5.2 Limited License to Purchasers

Upon purchase and full payment of a Product, Edit Noir grants you a limited, non-exclusive, non-transferable, revocable license to use the Product for your personal or commercial business purposes, subject to the following restrictions:

YOU MAY:

  • Use the Product for your own business branding, marketing, and promotional purposes
  • Customize and edit the Product to suit your business needs
  • Use the Product in client work (if you are a service provider), provided the final deliverable incorporates the Product into a larger, original work

YOU MAY NOT:

  • Resell, redistribute, share, or give away the Product (in original or modified form) to any third party
  • Claim ownership or authorship of the Product
  • Use the Product to create competing products or templates for resale
  • Share your purchased files with others, including team members who have not purchased their own license
  • Upload the Product to any file-sharing platform, template marketplace, or website where others can download or access it
  • Use the Product in any manner that infringes upon the intellectual property rights of Edit Noir or any third party
  • Reverse engineer, decompile, or disassemble any software or digital files included in the Product

VIOLATION OF THESE LICENSE TERMS WILL RESULT IN IMMEDIATE TERMINATION OF YOUR LICENSE AND MAY SUBJECT YOU TO LEGAL ACTION, INCLUDING CLAIMS FOR DAMAGES AND INJUNCTIVE RELIEF.

5.3 Refund Policy and License Termination

Due to the nature of digital products, all sales are final. We do not offer refunds, exchanges, or cancellations once a Product has been downloaded or accessed.

If you dispute a charge or request a chargeback through your payment provider, your license to use the Product will be immediately revoked, and you must cease all use and delete all copies of the Product.

5.4 Copyright Infringement

We respect the intellectual property rights of others. If you believe that any Content on the Site infringes your copyright, please contact us at info@editnoir.studio with:

  • Identification of the copyrighted work claimed to have been infringed
  • Identification of the infringing material and its location on the Site
  • Your contact information
  • A statement that you have a good faith belief that the use is not authorized
  • A statement under penalty of perjury that the information is accurate and that you are authorized to act on behalf of the copyright owner

6. PROHIBITED USES

You agree not to use the Site or Products for any unlawful or prohibited purpose, including but not limited to:

  • Violating any local, state, national, or international law
  • Infringing upon or violating our intellectual property rights or the rights of others
  • Harassing, abusing, threatening, or intimidating any person
  • Transmitting any viruses, malware, or harmful code
  • Engaging in any automated use of the system (e.g., scraping, data mining, robots)
  • Attempting to interfere with, compromise, or disrupt the Site’s integrity or security
  • Impersonating Edit Noir or any other person or entity
  • Using the Site or Products to create derivative works for commercial resale
  • Uploading or distributing unsolicited or unauthorized advertising or promotional materials

We reserve the right to terminate your access to the Site and pursue legal action for any prohibited use.

7. USER-GENERATED CONTENT

If you submit, post, or transmit any content to the Site (e.g., testimonials, reviews, comments, or messages) (“User Content”), you grant Edit Noir a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in any media.

You represent and warrant that:

  • You own or have the necessary rights to submit the User Content
  • The User Content does not infringe any third-party rights
  • The User Content does not contain defamatory, obscene, or unlawful material

We reserve the right to remove or refuse to post any User Content for any reason without notice.

8. THIRD-PARTY LINKS AND SERVICES

The Site may contain links to third-party websites, platforms, or services (including Etsy, social media, and other external sites) that are not owned or controlled by Edit Noir.

We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites or services. You acknowledge and agree that Edit Noir shall not be liable, directly or indirectly, for any damage or loss caused by or in connection with the use of any third-party content, goods, or services.

We strongly advise you to read the terms and conditions and privacy policies of any third-party sites or services you visit.

9. DISCLAIMERS

9.1 “AS IS” and “AS Available”

THE SITE AND PRODUCTS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

Edit Noir does not warrant that:

  • The Site or Products will meet your requirements or expectations
  • The Site will be uninterrupted, timely, secure, or error-free
  • The results obtained from using the Site or Products will be accurate or reliable
  • Any errors in the Site or Products will be corrected

9.2 No Professional Advice

The Content on the Site is for informational and educational purposes only and does not constitute professional business, legal, financial, or design advice. You should consult with appropriate professionals before making business decisions.

Edit Noir is not responsible for any business outcomes, financial results, or commercial success resulting from your use of the Products.

9.3 Software and Compatibility

Our Products are designed for use with specific software platforms (e.g., Canva, Adobe Creative Suite, Google Slides). We do not guarantee compatibility with all versions, operating systems, or future updates of third-party software.

It is your responsibility to ensure you have the necessary software and technical capabilities to use the Products.

10. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EDIT NOIR, ITS OWNER, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Site or Products
  • Any conduct or content of any third party on the Site
  • Unauthorized access, use, or alteration of your transmissions or content
  • Any errors, mistakes, or inaccuracies of content
  • Personal injury or property damage resulting from your use of the Site
  • Any bugs, viruses, or harmful code transmitted through the Site
  • Any business losses, including loss of revenue, profits, or business opportunities

IN NO EVENT SHALL EDIT NOIR’S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU PAID TO EDIT NOIR IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS LESS.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

11. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Edit Noir, its owner, employees, contractors, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from:

  • Your use of the Site or Products
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property rights
  • Any User Content you submit or transmit through the Site
  • Your violation of any applicable laws or regulations

This indemnification obligation will survive termination of these Terms and your use of the Site.

12. DISPUTE RESOLUTION AND ARBITRATION

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

12.2 Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at info@editnoir.studio. We will attempt to resolve the dispute informally within 60 days.

12.3 Binding Arbitration

If we cannot resolve the dispute informally, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or your use of the Site or Products (collectively, “Disputes”) will be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

The arbitration will take place in Los Angeles, California, or remotely via video conference. The arbitrator’s decision will be final and binding, and judgment may be entered in any court of competent jurisdiction.

YOU AGREE TO WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

12.4 Exceptions to Arbitration

Either party may seek injunctive or other equitable relief in court to protect intellectual property rights or confidential information.

12.5 California Residents

California residents may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by contacting them in writing or by telephone.

13. TERMINATION

We reserve the right, in our sole discretion, to terminate or suspend your access to the Site and use of Products at any time, with or without notice, for any reason, including but not limited to:

  • Violation of these Terms
  • Fraudulent, abusive, or illegal activity
  • Requests by law enforcement or government agencies
  • Discontinuation or material modification of the Site or Products

Upon termination:

  • Your right to use the Site and Products will immediately cease
  • You must cease all use of Products and delete all copies in your possession
  • Provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimers, indemnification, and limitations of liability) will remain in effect

Termination does not entitle you to a refund.

14. SEVERABILITY

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be made enforceable, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

15. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and any other legal notices or agreements published on the Site, constitute the entire agreement between you and Edit Noir regarding your use of the Site and Products and supersede all prior or contemporaneous understandings and agreements, whether written or oral.

16. WAIVER

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

17. ASSIGNMENT

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign or transfer these Terms, in whole or in part, at any time without restriction.

18. FORCE MAJEURE

Edit Noir shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, fuel, energy, labor, or materials.

20. ACKNOWLEDGMENT
